Acquisition Opportunity

Hilco is seeking offers to acquire the intellectual property and tangible assets of Sunseeker Holiday Homes Limited (“Sunseeker” or the “Company”) on behalf of the Administrator of the Company, Frazer Ulrick of Westgates Restructuring Ltd.

Background

Founded in 2019, Sunseeker was a UK-based designer and manufacturer of static holiday homes and luxury leisure lodges, operating from Hull, East Yorkshire. The Company was established by an experienced management team with extensive knowledge of the holiday-home and lodge sector, with a focus on contemporary design, quality manufacturing and customer service.

Sunseeker grew rapidly following launch, securing approximately £11 million of orders during its early years of trading and expanding its manufacturing footprint to accommodate increased demand. At its peak, the Company generated annual turnover in excess of £16 million.

The Company developed an extensive portfolio of designs of static holiday homes and lodges spanning a range of styles, specifications, and price points. Current and recent models have included the Opulence, Thornton, Supreme, Spirit Country, Spirit Coastal, Solis, Zest, Ashton, Highgate, Aruba, Sensation and Infinity, together with several newer and variant models. Over approximately seven years of product development, Sunseeker has also built a substantial proprietary design library of c. 100 individual current and historic designs, which are retained electronically within the Company’s CAD systems.

Operating on a business-to-business basis, Sunseeker supplied holiday homes to holiday parks, park groups and dealers across the UK. The Company has established relationships across the UK holiday-park sector, with customers and partners including a number of regional park and showground operators.

This acquisition presents an opportunity to secure an established brand and extensive design platform within the UK holiday-home and leisure-lodge market. For an existing manufacturer or a party seeking entry into the sector, the assets provide a ready-made foundation for relaunch, product-range expansion, or integration into an existing business.

Established in 2019, Sunseeker Holiday Homes has developed into a recognised name in the UK holiday-home and lodge market, building its proposition around contemporary design, craftsmanship and innovation. The brand achieved rapid early traction, securing approximately £11 million of orders within little more than its first year of trading.

Since launch, Sunseeker has developed an extensive portfolio of holiday homes and luxury lodges and established a national presence through holiday parks, showgrounds and major industry events, including the Caravan & Motorhome Show at Birmingham’s NEC and The Great Holiday Home Show. The Company is also a manufacturer member of the National Caravan Council (NCC) and the British Holiday & Home Parks Association (BH&HPA).

For an acquirer, the Sunseeker Holiday Homes and Sunseeker Park Homes brands offer an established platform within the UK leisure accommodation market, supported by a broad product portfolio, national industry exposure, an established digital following, and a substantial library of associated designs.

Trade Marks

The Company is likely to hold unregistered trade mark rights in the “Sunseeker Holiday Homes” and “Sunseeker Park Homes” brand names and associated logos arising from long-standing and consistent use in the marketplace.

Design Rights and CAD Library

The Company holds an extensive portfolio of internally developed holiday-home and lodge designs. Management estimates that approximately 50 unique current and historic designs are retained electronically on the Company’s CAD systems, developed over approximately seven years.

The underlying materials are expected to include CAD source files, floor plans, exterior elevations, interior layouts, technical and manufacturing drawings, model specifications and associated design documentation.

Domain Names & Website Content

The Company holds the sunseekerholidayhomes.co.uk and sunseekerparkhomes.co.uk domain names, which are available to acquire.

The Company likely owns the copyright in the website content hosted across its domains, including product descriptions, model specifications, floor plans, brochures, photography, virtual tours, news and events content, promotional campaigns and other marketing materials.

Social Media Accounts

Rights in social media accounts are also available to acquire across various platforms, including LinkedIn, Facebook, Instagram and Twitter/X.

Customer & Trade Data

The Company holds a business-to-business contact database maintained through Zoho CRM, which details contact information relating to holiday parks, park operators and other organisations and individuals within the UK holiday-home sector.

Tangible Assets

Certain work-in-progress units and other tangible assets are also available as part of the wider sale process. Management has confirmed that the existing units are at varying stages of completion. The status and availability of individual units are subject to change during the marketing process, and interested parties should refer to the latest asset schedule available in the data room.

Key Terms and Conditions

Hilco is acting as exclusive agent to the Company and its Administrator in connection with the proposed sale of some or all of the Company’s assets. The Administrator acts as an agent of the Company and without personal liability.

All sales are made strictly on an “as is, where is” basis. Only such right, title and interest (if any) as the Company may have in the assets will be transferred to a purchaser. No warranties, guarantees, or representations (express or implied) are provided by the Company, its Administrator, or Hilco in respect of the assets or any information supplied. All parties must rely on their own enquiries and due diligence. Any information provided is for convenience only and has not been independently verified.

All offers are subject to the addition of VAT at the prevailing rate, where applicable. A non-refundable deposit equal to 20% of the agreed purchase price must be paid by the successful purchaser within 48 hours of offer acceptance. Payment of the deposit grants the purchaser the exclusive right to proceed with the acquisition of the relevant assets for a limited period and on the terms agreed. A Buyer’s Premium of 10% of the final purchase price is payable by the successful purchaser in addition to the agreed purchase price, is non-negotiable and is payable at the same time and in the same manner as the purchase price and forms a condition of sale.

Legal completion must occur within five (5) business days of offer acceptance, unless otherwise agreed in writing by the Company and its Administrator.
