Hilco is seeking offers to acquire certain intellectual property assets of Holdings Limited (In Liquidation) (“Atterley” or the “Company”) on behalf of the Joint Liquidators of the Company, Ian Wright and Scott Milne of Quantuma Advisory Limited.

Trade Marks 

The Company holds a collection of three core registered trade marks, safeguarding the brand across various territories. These trade marks include international protection for the “Atterley” word mark, a trade mark for the primary logo “Atterley”, protected in the UK and EU, and a trade mark for the “A” logo, also safeguarded in the UK and EU. Additionally, the Company retains legacy protection for the word mark “Atterley Road” in the UK.

The Platform* 

Atterley was initially established as a specialised online marketplace, focusing on providing a platform for small and unique retail fashion boutiques to showcase their exclusive merchandise to a discerning audience. Combining online sales channels, merchandising operations, and strategic marketing initiatives, the Platform a dynamic ecosystem for boutique retailers and fashion enthusiasts. 

A significant investment of c. £4m was channelled into developing Atterley’s robust marketplace software, with sophisticated e-commerce functionalities, a streamlined supplier portal, and an intuitive administration tool tailored for seamless merchandising and order management. Notably, the Platform’s innovative integration framework, efficient product ingestion flow, and advanced system administration tool for merchandising showcase the maturity and potential of its software capabilities. Notably, the Platform is capable of ingesting stock by API from many of the popular platforms, including Shopify, allowing boutiques and independent retailers to host their own websites and present products aggregated under the Atterley URL (or any other desired URL) for endless product types. 

In a rapidly evolving and highly competitive fashion marketplace, Atterley can leverage its software capabilities to cater to specific niche markets, potentially exploring sectors such as veterinary care and health and beauty. Alternatively, licensing its sophisticated software to emerging B2C, B2B, and P2P marketplaces and technology providers without mature capabilities could open up a new avenue for revenue generation and market expansion.

*Please be aware that the third-party developer of the technology has a potential claim over works undertaken in late 2022 but has agreed to release that claim and assist with the transfer of the technology to a new owner in exchange for a perpetual, royalty free, worldwide licence to use the IP it created (including sub-licensing). However, there remains an option to purchase the website on an exclusive basis, subject to agreement with the developer. 

Sale Process

Key Terms and Conditions

The Joint Liquidators act as agents of the Company and without personal liability. 

The bidder acknowledges that Hilco acts as an agent for the Joint Liquidators who offer for sale only what right, title and interest (if any) the Company possesses in the assets. Such sale will be without any warranties, expressed or implied. The information provided has not been verified by Hilco or the Joint Liquidators and bidders are deemed to have carried out their own due diligence. 

VAT, if applicable, at 20% will be added to the price. A non-refundable deposit of 20% will be payable by the buyer within 48 hours of bid acceptance. A buyer’s premium of 10% of the sale price is payable by the winning bidder. Legal completion to occur within 5 business days of bid acceptance. Hilco’s full Terms and Conditions apply.
