Hilco is seeking offers to acquire the intellectual property assets of Luco Music Group Limited (In Liquidation) (“Luco Music Group” or the “Company”) on behalf of the Liquidators of the Company, Allan Cadman and Alan Fallows of Xeinadin Corporate Recovery Limited.
Luco Music Group is a music publishing and rights-holding company with interests in a portfolio of commercially exploited musical compositions and recordings. The catalogue spans the established works of Christopher Simpson – founder and principal songwriter of the acclaimed progressive folk-rock band Magna Carta – alongside rights connected to the feature film Chick Fight and the La Toya Jackson recording “Travelling Home For Christmas”.
The Company’s assets comprise publishing rights, royalty-generating musical works, master recording interests, and associated contractual rights. These rights are currently administered by Warner Chappell Music, one of the world’s leading music publishers, which has collected and distributed royalties on behalf of the Company across a broad range of international territories and digital platforms.
Historic royalty statements show active exploitation of the catalogue across multiple collection societies, digital streaming platforms, and performance rights organisations in territories including the United Kingdom, Canada, Belgium, Brazil, Sweden, Italy, and the Czech Republic. The Company’s portfolio presents the opportunity to acquire an established catalogue of music publishing rights with an earnings history and continuing exploitation potential.
The core asset available comprises the Company’s publishing interests in a catalogue of works written by Christopher Simpson, the founder, songwriter and driving creative force behind Magna Carta.
Formed in London in 1969, Magna Carta established itself as a respected name within the progressive folk and folk-rock genres. Over several decades, the group released many albums and built a loyal international following, particularly across Europe and North America.
The Christopher Simpson catalogue represents the primary source of income within the portfolio, with several titles generating recurring royalties through collection societies and digital services across multiple territories.
The catalogue represents an opportunity to acquire rights connected to a recognised songwriter with a demonstrated international exploitation history and identifiable continuing income.
The Company holds rights associated with the soundtrack and score for the feature film Chick Fight, an action-comedy starring Malin Åkerman, Bella Thorne, Dulcé Sloan and Alec Baldwin.
The Company retains ownership of both publishing rights and master recordings relating to the score, including several compositions that have generated royalty income and may provide future opportunities for synchronisation, licensing, adaptation, and further exploitation.
The Company holds a 50% interest in the master recording of the Christmas single “Travelling Home For Christmas” performed by La Toya Jackson, an internationally recognised recording artist and member of the Jackson family, offering future licensing and exploitation opportunities for a buyer with established distribution relationships.
The Company holds various agreements, royalty statements, publishing documentation, and associated records relating to the management and exploitation of the catalogue, which would assist an acquirer in continuing the administration of the rights portfolio and understanding historic royalty performance across all works.
Prospective purchasers should note that certain assets may be subject to existing third-party rights, contractual arrangements, royalty-sharing obligations, publishing agreements, collection society registrations, and other restrictions. Any transfer of assets will be subject to the terms of such agreements, and interested parties should undertake their own legal and commercial due diligence to determine the precise nature and extent of the rights available.
Only such right, title and interest as is held by the Company will be available for sale.

Hilco is acting as exclusive agent to the Company and its Joint Liquidators in connection with the proposed sale of some or all of the Company’s assets. The Joint Liquidators act as agents of the Company and without personal liability.
All sales are made strictly on an “as is, where is” basis. Only such right, title and interest (if any) as the Company may have in the assets will be transferred to a purchaser. No warranties, guarantees, or representations (express or implied) are provided by the Company, its Joint Liquidators, or Hilco in respect of the assets or any information supplied. All parties must rely on their own enquiries and due diligence. Any information provided is for convenience only and has not been independently verified.
All offers are subject to the addition of VAT at the prevailing rate, where applicable. A non-refundable deposit equal to 20% of the agreed purchase price must be paid by the successful purchaser within 48 hours of offer acceptance. Payment of the deposit grants the purchaser the exclusive right to proceed with the acquisition of the relevant assets for a limited period and on the terms agreed. A Buyer’s Premium of 10% of the final purchase price is payable by the successful purchaser in addition to the agreed purchase price, is non-negotiable and is payable at the same time and in the same manner as the purchase price and forms a condition of sale.
Legal completion must occur within five (5) business days of offer acceptance, unless otherwise agreed in writing by the Company and its Joint Liquidators.
