Acquisition Opportunity

Hilco is seeking offers to acquire the intellectual property assets and associated media rights interests of Wildflame Productions Limited (In Liquidation) (“Wildflame” or the “Company”) on behalf of the Liquidator of the Company, Christopher Purkiss of Moore Kingston Smith & Partners LLP.

Background

Founded in 2015, Wildflame established itself as a respected independent factual television production company, producing a diverse catalogue of documentary, history, archaeology, science, royal, and specialist factual programming for leading broadcasters and international audiences.

Over its trading history, the Company developed and produced a portfolio of television titles distributed through a range of established international distributors, including Silverlining Rights, Orange Smarty, Blue Ant International, Flame Distribution, and Abacus Media Rights. Among the most notable titles within the Company’s portfolio are Highgrove: The King’s Country Home, Clarence House: Secrets of a Royal Estate, St James’ Palace: Secrets of a Royal Estate, Frogmore: A Royal Residence Through Time, Mysteries of the Pyramids with Dara Ó Briain and Sex, Me & Disability. Several of these titles continue to generate royalties under existing distribution arrangements and remain available within active distribution catalogues.

The Company generated revenue through a combination of production commissions, distribution arrangements, and ongoing royalty income from the exploitation of completed programmes. Certain titles remain subject to distribution agreements extending into the next decade, providing potential purchasers with the opportunity to acquire an established portfolio of media rights interests and associated revenue streams.

Wildflame’s catalogue demonstrates the Company’s ability to develop commercially attractive factual content with enduring audience appeal. The opportunity presents a rare chance to acquire a portfolio of factual television assets, together with associated contractual rights, royalty interests and development materials.

Available Assets

The Wildflame Brand

The Wildflame brand became associated with the production of high-quality factual television programming, delivering documentaries and specialist factual content across history, archaeology, science, disability awareness and royal heritage themes.

Wildflame’s work has received significant industry recognition. Most notably, the Company won Gold at the 43rd Annual Telly Awards in New York for Best General Documentary, demonstrating the international quality and appeal of its productions. The Company’s production, Sex, Me & Disability, won the Royal Television Society (RTS) Award for Best Daytime Programme, highlighting its ability to produce critically acclaimed content capable of reaching mainstream audiences while addressing important social issues.

Combined with established distribution relationships and a catalogue of royalty-generating factual programming, the Wildflame brand offers a purchaser the opportunity to acquire an award-winning production legacy with proven domestic and international appeal.

Trade Marks

The Company likely holds rights in several unregistered trade marks, including rights associated with the “Wildflame” brand name and logos. In addition, the Company is likely to hold enforceable unregistered rights in a portfolio of television programme titles by virtue of their commercial exploitation, international distribution, audience recognition and industry reputation.

Programme Portfolio

The Wildflame programme catalogue showcases the Company’s ability to develop and produce high-quality factual television content with proven international distribution, audience appeal and ongoing revenue-generating potential. At its core are a number of flagship titles that exemplify the strength of the catalogue and its commercial appeal:

Highgrove: The King’s Country Home

A specialist factual documentary examining King Charles III’s private country residence and the history of one of Britain’s most recognisable royal estates. Distributed by Silverlining Rights, the title forms part of Wildflame’s more recent royal programming portfolio.

Clarence House: Secrets of a Royal Estate

A documentary exploring the history and significance of Clarence House, one of the Royal Family’s most important residences. Produced by Wildflame and distributed internationally through Silverlining Rights.

St James’ Palace: Secrets of a Royal Estate

Companion documentary to Clarence House, examining one of Britain’s oldest royal palaces and its role within the modern monarchy.

Frogmore: A Royal Residence Through Time

A documentary exploring the history of Frogmore Estate and its place within the British Royal Family. The programme forms part of Wildflame’s successful royal history catalogue.

Mysteries of the Pyramids with Dara Ó Briain

A two-part specialist factual series fronted by Dara Ó Briain exploring the history, science and mythology surrounding the Egyptian pyramids.

Sex, Me & Disability

An award-winning documentary examining disability, relationships and sexuality. Distributed internationally through Orange Smarty under an existing distribution arrangement.

In addition to the flagship titles highlighted above, the portfolio includes interests in a broader catalogue of factual television programming spanning history, science, archaeology, natural history, royal heritage and documentary content. Collectively, these productions demonstrate the breadth of the Company’s production capabilities and provide a purchaser with access to a diverse body of content with potential ongoing exploitation and revenue-generation opportunities.

Distribution Rights & Royalty Interests

A significant component of the opportunity relates to the Company’s existing contractual relationships with distributors and its entitlement to receive royalties and other revenues arising from the exploitation of certain titles. Several titles remain under active distribution arrangements with established international distributors. Certain agreements extend into the next decade and may continue to generate revenue from international television, on-demand, educational and ancillary exploitation, offering a purchaser the ability to acquire a portfolio of existing media rights interests together with any associated future revenue streams attributable to the Company’s rights.
